Yahoo's Dazed Shareholders Flail Around For "Plan B"--Here's a Particularly Bad One

billmiller.jpgNow that Microsoft (MSFT) has called what everyone but a handful of folks on Yahoo's board assumed was a bluff, Yahoo's stunned shareholders are left with a $22 stock and vague hopes for "Plan B."

Anyone have any compelling ideas for "Plan B"? If so, they haven't told us. All the "Plan B" ideas we've heard--with the exception of the Google outsourcing deal--are boring at best. Legg Mason portfolio manager Bill Miller is one of the smartest people we know, and his "Plan B" is downright dumb.

What does Bill think Yahoo should do now that Microsoft's $33 offer is history? Use its $2.5 billion of cash to buy back stock.

The logic?

If Yahoo really thinks $33 a share "substantially undervalues" the company, then, at $22, it should frantically buy back every share it can.

In theory, this makes sense. In this real world, it doesn't.

Why not?

Because Yahoo is competing in an arena in which $2.5 billion of cash is chicken feed. Yahoo isn't in "harvest" mode. It's not CBS (CBS) or Time Warner (TWX). It shouldn't have to make financial moves to increase shareholder value. And, more importantly, it shouldn't be sacrificing the relatively small amount of financial flexibility it has just to produce a short-term bump in the stock.

If Yahoo is interested in short-term shareholder value creation, it just passed on the best opportunity it is ever likely to get. If it's interested in long-term value creation, it is presumably going to have to make some acquisitions. So why on earth would it reduce its flexibility to do that?

Whatever Yahoo does, Plan B shouldn't be using its relatively small cash pile to buy back stock. Any other ideas?

Millers suggestion is laughable. Maybe if they manage to outsource to GOOG and get it approved by regulators they could begin a more aggressive share buyback. But right now, as you suggest, $2.5 billion is not only chicken feed. Perhaps another option is to sell off some of their non-operating Asian holdings?

Crazy huh, that with no winning Internet strategy, MSFT is worth double google and makes more in one quarter than google does in a year (that was based on google peak performance, not in adv slowdown)

If MSFT doesnt want to pay $40, and they might, I am sure the market will pay $20 or so, maybe.

No one will even step in to put a low-ball offer since there is no point in wasting the legal resources on a battle you cant win, so unfortunately MSFT is the only batter, catcher, pitcher and fielder in the game. Yahoo is totally at their mercy.

If MSFT pulls their bid, Yahoos layoffs and internal consolidation strategy only worsened their position to innovate (less brains), and will only hasten their stock price decline. To this end Yahoo will have to overspend to acquire growth...

In the end, this could be a strategy of MSFT to let Yahoos ego put MSFT in a position to buy the co for $25 instead of $40 - bid what you know they will reject and let them flounder and cut their own leg off to keep you from buying them, in the end, you can can buy them for even less after they lost too much blood

it's always funny to me that when you ask co. management about the valuation of their stock, the most common response is 'we can't worry about the stock price. valuation is your business, running a company is ours.' and yet yahoo mgmt knew to the dollar what fair value for their company was. i'd still love to see their detailed analysis justifying the price (did they use solar energy companies as peers?) perhaps they should all give up their day jobs and become investors ...

stock buybacks are almost always incredibly silly ways to spend a co.'s capital - if you have excess cash, instead of pretending you know your co. is undervalued and that your stock is the best investment available, just give it to the shareholders and let them decide what to do with it...

I really wish MSFT had swallowed YHOO. It would have been the worst and biggest mistake-merger since TWX-AOL. It would have killed MSFT.
