SpiralFrog's Accountants Begin Deathwatch: Doomed Company Wants To Raise Another $25 Million.

Sfrog_2 Last month we took a look at SpiralFrog, the once-hyped, yet-to-be-launched music service, and declared it would be dead on arrival. Turns out we were overly cautious: The company's accountants have already started heaping dirt on the grave, via a "going concern" note disclosed in SEC statements filed Friday (the company isn't public but needed to file after it took out $10 million in loans secured by common stock).

There's plenty of grim detail in the filing, including a persuasive "risk factors" section which explains why SpiralFrog's plan to provide a free, ad-supported music offering is going nowhere: It's difficult to use, the big music labels haven't signed on, and consumers can already get all the free music they want. But investors who aren't dissuaded by any of the above may get a chance to lose money this fall, when SpiralFrog says it intends to conduct a $25 million private placement. It has burnt through $12 million in the past two and a half years and says it will need to raise at least $18 million to make it another 12 months. SEC filing via PaidContent.

SpiralFrog is wonderful! It works great with my DRM compatible cellular phone and provides a great alternative to iPod.

They do however need to get the word out since most people have no clue this service even exists.

I have spiralfrog and I love it. The problems are the above mentioned. It is understandable that they use WMA DRM for the songs since after all, they need to make some money from it by bringing you back to the website.

and not everyone wants to use a crappy WMA file either. How about plain MP3's. Other services are already beginning to offer this meaning no one will be bothered with Spiral Frogs' ad nonsense.

I'm a spiralfrog user and I love it! I think it's only two problems is that no one really knows about it yet and advertisers haven't caught on to the idea yet. All the ads there are for the Navy, Burger King, or contact lens. Not everyone in the world has an overpriced, overhyped i-pod, and spiralfrog is perfect for those other MP3 players.

Having worked in the digital music biz for 6 years at leading subscription service Rhapsody, I continue to be amazed at these new attempts to change the music business. There is nothing new with SpiralFrog - it's a greater fool theory concept. The labels will rightfully suck all of the marginal profit out of the system for all entrants - in this case, it won't even get that far since SFrog won't be able to afford the advances to even create the business.
